Layer Health, Inc. (“Layer Health”, “we”, “us” or “our”) respects the privacy of others. This Privacy Policy explains Layer Health’s privacy practices for the layerhealth.com website (together with its pages and features and all services provided through the website, the “Site”) by providing you and any person helping you visit, access, register with or use the Site (collectively, “you” or “your”) with an overview of the following:
the type of personal information that Layer Health collects through the Site;
how that personal information is collected;
how that personal information is used;
how that personal information will be shared with others;
Layer Health’ security measures for protecting that personal information; and
how to opt-out or unsubscribe and how to correct or delete your personal information.
As used herein, the term “personal information” means information that would allow someone to specifically identify you (e.g., your name, physical address, telephone number, email address, social security number); and the term “non-personal information” means any information other than personal information that Layer Health may collect from you.
This Privacy Policy applies to personal information collected through the Site. This Privacy Policy does not apply to personal information or other information that we handle on behalf of our business customers. Our use of that information is restricted by our agreements with those customers. If you have questions about personal information that our customers share with us, we encourage you to contact the relevant customer.
By visiting, accessing or using the Site, you are automatically accepting and agreeing to the most-recent version of this Privacy Policy, as well as the Site’s Terms of Service and your continuing visit, access or use of the Site reaffirms your acceptance and agreement in each instance. Carefully read this Privacy Policy in its entirety.

Changes to this Privacy Policy
We may supplement, amend, or otherwise modify this Privacy Policy at any time without notice to you. If we make any changes the revised Privacy Policy will be posted on this or a similar page of the Site and the “Last Updated” date at the top of this Privacy Policy will be revised and, in some cases, where appropriate we may notify you by adding a statement to the Site or sending you an email notification. All changes shall be deemed effective as of the stated “Last Updated” date. We encourage you to review our Privacy Policy whenever you use the Site to stay informed about our information practices and the ways you can help protect your privacy. It is your responsibility to carefully review this Privacy Policy each time you visit, access or use the Site. Layer Health may collect personal and non-personal information about you through the Site.
Categories of Information Collected Through the Site. The categories of personal and non-personal information collected from you through the Site might include your:
Name (first, last and/or middle) and unique identifiers (e.g., username)
Contact information (e.g., mailing address, email address, telephone number, fax number)
Business and personal contact information, such as your first and last name, email and mailing addresses, phone number, professional title and company name.
Content you choose to upload to the Site, such as text, images, audio, and video, along with the metadata associated with the files you upload.
Registration information, such as information that may be related to a service or a webinar or other training opportunity for which you register.
Feedback or correspondence, such as information you provide when you contact us with questions, feedback, or otherwise correspond with us.
Demographic information, such as your city, state, country of residence, and postal code.
Usage and computer information, such as information about how you use the Site and interact with us, including information associated with any content you upload to the websites or otherwise submit to us, and information you provide when you use any interactive features of the Site, and information about your computer, mobile device, and/or browser information, such as IP address, mobile device ID information, operating system, connection speed, bandwidth, browser type, referring/exist web pages, web page requests, cookie information, hardware attributes, software attributes.
Marketing information, such as information including your preferences for receiving communications about our activities, events, and publications, and details about how you engage with our communications.
Other information that we may collect that is not specifically listed here but which we will use in accordance with this Privacy Policy or as otherwise disclosed at the time of collection.
Categories of Other Information Collected From Your Mobile Device. If you use your mobile device to visit, access or use the Site, then additional categories of personal and non-personal information collected from you through the Site might include:

You are solely responsible for the accuracy and content of the personal information you provide to Layer Health, and for keeping your personal information current and correct.
How Information Is Collected
Layer Health might collect personal and non-personal information from you when you visit, access or use the Site; when you register with or subscribe to the Site; or whenever Layer Health asks you for such information through the Site. We may also receive personal information about you from third-party sources, such as business partners, marketing partners, publicly available sources, and data providers.
We may maintain pages for Layer Health on social media platforms, such as LinkedIn, Twitter, Facebook and other third party platforms. When you visit or interact with our pages on those platforms, the platform provider’s privacy policy will apply to your interactions and their collection, use and processing of your personal information. You or the platforms may provide us with information through the platforms, and we will treat such information in accordance with this Privacy Policy.
Finally, Layer Health might use various tracking, data aggregation and/or data analysis technologies, including, for example, the following:
Web beacons, which are pieces of code embedded in a website or email to monitor your activity on the website or your opening of the email, and which can pass along information such as the IP address of the computer or device you use to view the website or open the email, the URL page on which the web beacon is located, the type of browser that was used to access the website, and previously set cookie values. Web beacons are sometimes used to collect advertising data, such as counting page views, promotion views or advertising responses. Disabling your computer’s, device’s or browser’s cookies may prevent some web beacons from tracking or recording certain information about your activities.
Scripts, which are pieces of code embedded in a website to define how the website behaves in response to certain key or click requests sent by the user. Scripts are sometimes used to collect information about the user’s interactions with the website, such as the links the user clicks on. Scripts are often times temporarily downloaded to the user’s computer or device from the website server, active only while the user is connected to the Site, and deactivated or deleted when the user disconnects from the website.
Analytic tools and services, which are sometimes offered by third parties, and which track, measure and/or generate information about a website’s or program’s traffic, sales, audience and similar information, and which may be used for various reasons, such as, for example, statistical research, marketing research, and content ratings research, and conversion tracking. Examples of the analytic tools and services which Layer Health might use include Google Analytics.
When you access our Service from a mobile device, we may collect unique identification numbers associated with your device or our mobile application (including, for example, a UDID, Unique ID for Advertisers (“IDFA”), Google AdID, or Windows Advertising ID), mobile carrier, device type, model and manufacturer, mobile device operating system brand and model, phone number, and, depending on your mobile device settings, your geographical location data, including GPS coordinates (e.g., latitude and/or longitude) or similar information regarding the location of your mobile device, or we may be able to approximate a device’s location by analyzing other information, like an IP address. We and our third-party partners may also use cookies and tracking technologies for advertising purposes. Please be advised that if you choose to block, reject, disable, delete or change the management settings for any or all of the aforementioned technologies and/or other tracking, data aggregation and data analysis technologies, then certain areas of the Site might not function properly.
By visiting, accessing or using the Site, you acknowledge and agree in each instance that you are giving Layer Health permission to monitor or otherwise track your activities on the Site, and that Layer Health may use the aforementioned technologies and/or other tracking, data aggregation and data analysis technologies.
Use of Information Collected
Layer Health may use the personal and/or non-personal information it collects from you through the Site in a variety of ways, such as, for example, to:
Provide the Site to you and administer your use of the Site;
Facilitate your movement through the Site and personalize your user experience with the Site;
Improve the Site and/or its content, features and/or services;
Respond to your requests, questions and feedback;
Communicate with you, including sending you administrative emails, answers to your questions and updates about the Site and/or our products and/or services;
Provide you with information about Layer Health and/or Layer Health’s businesses, products and services by letter, email, text, telephone or other forms of communication, including marketing and promotional communications;
Complete an activity you requested, such as register for an account or obtain more information;
Provide you with support services for our products and/or service;
Analyze and monitor traffic to and through the Site;
Analyze and monitor user behavior and activity on or through the Site;
Protect or enforce Layer Health’s rights and properties and the rights and properties of others; and/or
Any other purpose with your consent.
Layer Health reserves the right to use your personal and non-personal information when:
Required by applicable law, court order or other governmental authority (including, without limitation and by way of example only, in response to a subpoena or other legal process); or
To comply with applicable state and federal laws, including, but not limited to laws related to protecting user, provider and/or public health and safety; or
Layer Health believes in good faith that such use is otherwise necessary or advisable (including, without limitation and by way of example only, to investigate, prevent, or take legal action against someone who may be causing injury to, interfering with, or threatening the rights, obligations or properties of Layer Health, a user of the Site which may include you, or anyone else who may be harmed by such activities or to further Layer Health’ legitimate business interests).
Sharing of Information Collected
We Never Sell Personal Information. We will never sell, rent or otherwise provide your Personal Information to any third party for marketing purposes.
Layer Health does not authorize third parties to collect your personal information when you use the Site, except as described in this Privacy Policy. To the fullest extent permitted by law, Layer Health is not responsible for, and you hereby release Layer Health from any and all liability which may arise from, such third parties’ unauthorized collection, use and sharing of your personal information.
Sharing Information with Third Parties. We only share your Personal Information with third parties as described in this Privacy Policy, to carry out your instructions, as may be compelled by law, or as necessary to protect our rights or property. For example, Layer Health reserves the right to share your personal information with Layer Health’ employees, agents, administrators, accountants, financial advisors and legal advisors; and with those third parties who help manage, administer distribute and/or operate the Site (e.g., web hosting companies, website analytics providers, website administrators) as needed in order for them to perform such services. Such third parties are prohibited from using your Personal Information except for these purposes, and they are required to maintain the confidentiality of your information.
Compliance with Legal Process. We may share your information with a court, a regulatory entity, law enforcement personnel, or pursuant to a subpoena, to comply with applicable law or any obligations thereunder. We may be required to disclose your Personal Information and/or information with respect to your use of our Site in response to lawful requests by governmental or regulatory agency or by court order, subpoena or other legal process or requirement, including to meet national security or law enforcement requirements, or if we reasonably believe that such disclosure is necessary (i) to investigate, prevent or take action with respect to suspected or actual illegal activities or to assist government enforcement agencies, (ii) to protect the safety of any person from death or serious bodily injury, (iii) to prevent fraud or abuse of our Site or infringement of our intellectual property rights in our Site, (iv) to enforce our terms of use or your agreements with us, or (v) to investigate and defend ourselves against any third party claims or allegations.
Business Transfers. We may sell, transfer or otherwise share your information to a third party in connection with a merger, acquisition, reorganization or sale of assets of Layer Health or in the event of bankruptcy of Layer Health and you agree that any such third party will have the right to continue to use your personal information and other information that you provide to us or which we obtain through your use of the service.
For Other Business Reasons. We may share your information to enforce any applicable terms and conditions applicable to our Site and to ensure the safety and security of the Site.
Aggregated or Anonymized Data. We may also share aggregated or anonymized information that does not directly identify you with the third parties described above.
With Your Consent. We will share your personal information with third parties when we have your consent to do so.
Non-Personal Information. Layer Health does not limit the ways in which it may use or share non-personal information because non-personal information does not identify you. For example, Layer Health may freely share non-personal information with its affiliates, suppliers and representatives, as well as with other individuals, businesses, and government entities. We may de-identify your information and disclose such de-identified information for any business or other purpose not prohibited by applicable law.
Google Analytics and Advertising
We use Google Analytics to recognize you and link the devices you use when you visit our Site on your browser or mobile device, log in to your account on our Site or App, or otherwise engage with us. We share a unique identifier, like a user ID or hashed email address, with Google to facilitate the service. Google Analytics allows us to better understand how our users interact with our Site and to tailor our advertisements and content to you. We may also utilize certain forms of display advertising and other advanced features through Google Analytics, such as Remarketing with Google Analytics, Google Display Network Impression Reporting, and Google Analytics Demographics and Interest Reporting. These features enable us to use first-party cookies (such as the Google Analytics cookie) and third-party cookies together to inform, optimize, and display ads based on your past visits to the Site. You may control your advertising preferences or opt out of certain Google advertising products by visiting the Google Ads Preferences Manager, currently available at https://google.com/ads/preferences, or by vising NAI’s online resources at http://www.networkadvertising.org/choices.
Data Retention
Layer Health may retain your personal information and non-personal information for as long as it believes necessary; as long as necessary to comply with its legal obligations, resolve disputes and/or enforce its agreements; and/or as long as needed to provide you with the Site. Layer Health may dispose of or delete any such personal information or non-personal information at any time, except as set forth in any other agreement or document executed by Layer Health or as required by law.
If you have submitted a valid General Data Protection Regulation ("GDPR") data subject access request to exercise your right to be forgotten we will delete your personal data within 30 days of the request. If you are an individual based in the European Union you can request a copy of your personal data and you can update any incorrect information. If you are an individual based in the European Union, you can ask to have your personal data removed, or in some cases limit our processing of personal data. This does not apply when we need to keep your personal data for legal reasons.
Third Party Links
The Site and/or any communications sent through or as a function of the Site may contain links to third-party websites. To the fullest extent permitted by law, Layer Health is not responsible for, and you hereby release Layer Health from any and all liability which may arise from, such third party websites (including, without limitation, the privacy policies and practices of such third-party websites). Layer Health does not control these third-party websites, and our provision of links to or use of these third party websites does not constitute an endorsement and you should proceed with caution. This Privacy Policy does not apply to such third party websites, which are subject to their own privacy policies and terms of use. It is your responsibility to carefully read, accept and comply with the relevant terms of use and privacy policies associated with third-party websites, which may be significantly different from ours.
Security
We protect the confidentiality and security of your personal information by using industry-recognized security safeguards such as firewalls, coupled with carefully developed security procedures designed to protect your personal information from loss, misuse or unauthorized alteration. Our employees are trained and required to safeguard your personal information and, using physical, electronic and procedural safeguards, we restrict access to personal information to those employees and agents for business purposes only. Additionally, we use internal and external resources to review the adequacy of our security procedures.
Although we use industry standard security measures, the Internet is not a 100% secure environment and we cannot, and do not, ensure or warrant the security of any information you transmit to us through the Site or by email. There is no guarantee that your information may not be accessed, disclosed, altered or destroyed by breach of any of our physical, technical or managerial safeguards and we are not responsible for third party circumvention of our security measures.
In the event that personal information is compromised as a result of a breach of security, we will endeavor to promptly notify those persons whose personal information has been compromised, in accordance with the notification procedures set forth in this Privacy Policy, by email, or as otherwise required by applicable law.
Severability
If any term or condition of this Privacy Policy is deemed invalid or unenforceable by a court of law with binding authority, then the remaining terms and conditions shall not be affected, and the court shall reform the invalidated or unenforceable term or condition to the maximum extent permitted under the law and consistent with the intent of this Privacy Policy.
Opting Out and Unsubscribing
You may, of course, decline to share certain personal information with us, in which case we may not be able to provide to you some of the features and functionality of the Site.
To Unsubscribe From Our Communications: You may unsubscribe from our marketing communications by clicking on the “unsubscribe” link located on the bottom of our emails, revising your subscription settings online, or by email: privacy@layerhealth.com with a subject line of “Unsubscribe.”
Please be aware that if you opt out of receiving commercial email from us or otherwise modify the nature or frequency of promotional communications you receive from us, it may take up to ten (10) business days for us to process your request, and you may receive promotional communications from us that you have opted out from during that period.
How You Can Opt Out of Web Tracking: There are several ways to opt out of web tracking:
Most browsers allow you to block third-party cookies or prevent cross-domain tracking. This will limit the cookies that can be set by third-party scripts. This will not completely eliminate tracking by some third-party services though as they may use first-party cookies.
Most browsers also allow you to ask not to be tracked (it sends the “Do Not Track” request header). If you have enabled this feature, we will not track the pages you visit in a way that enables us to connect them to your personal information. Your page views may still be collected anonymously though. Many of the third-party services we use for collecting anonymous data also respect the Do Not Track setting.
How You Can Opt Out of Cookies: Most browsers allow you to adjust your browser settings to (i) notify you when you receive a cookie, which lets you choose whether or not to accept it; (ii) disable existing cookies; or (iii) set your browser to automatically reject cookies. Blocking or deleting cookies may negatively impact your experience using the Service, as some features and services on our Service may not work properly. Deleting cookies does not delete Local Storage Objects (LSOs) such as HTML5.
Retention, Review, and Change of Information Collected
You may request at any time that Layer Health provide you with an opportunity to review and change your personal information collected through the Site or to no longer use your personal information to provide you with any products or services. Please submit any such request (“Request Concerning Personal Information”) by email: privacy@layerhealth.com with a subject line of “Your Personal Information.”
For each Request Concerning Personal Information, please state “Your Personal Information” in the email or letter subject line, and clearly state the following in the body:
the nature of your request;
that the request is related to “Your Personal Information;”
your name, street address, city, state, zip code and email address; and
whether you prefer to receive a response to your request by mail or email.
If you send a Request Concerning Personal Information by mail, then please do so by U.S. Certified Mail, Return Receipt Requested to allow for confirmation of mailing, delivery and tracking. Layer Health will not accept a Request Concerning Personal Information via telephone or facsimile. Layer Health is not responsible for any Request Concerning Personal Information that is incomplete, incorrectly labeled, or incorrectly sent.
Please note that while any changes you make will be reflected in active user databases within a reasonable period of time, we may retain all information you submit for backups, archiving, prevention of fraud and abuse, analytics, satisfaction of legal obligations, or where we otherwise reasonably believe that we have a legitimate reason to do so. We may not be able to modify or delete your information in all circumstances.
Transfer of Personal Information
Our headquarters is located in the United States. By using our Site, you have given us your express and informed consent to transfer the personal information that you provide to us to the United States and to process it in the United States. To facilitate our global operations, we may transfer and access personal information from around the world, including the United States. This Privacy Policy shall apply even if we transfer personal information to other countries.
Your Rights as an Individual Based in the European Union, United Kingdom or Switzerland
We commit to resolving complaints about our collection or use of your personal information. Individuals who are residents of the European Union, United Kingdom or Switzerland with inquiries or complaints regarding our Privacy Policy should first contact us by email at privacy@layerhealth.com with the subject line “GDPR Rights Request”.
You have the following rights as an individual based in the European Union, United Kingdom or Switzerland:
Access to your information: You have the right to request a copy of the personal information we hold about you.
Correcting your information: We want to have accurate information. Please contact us if you think the personal information you provided to us is not up to date or correct.
Deletion of your information: You have the right to ask us to delete personal information about you if it no longer is required for the purpose it was collected, you have withdrawn your consent, you have a valid objection to us using your personal information, or our use of your personal information is contrary to law or our other legal obligations.
Objecting to how we may use your information: You have the right at any time to require us to stop using your personal information for direct marketing purposes. In addition, where we use your personal information to perform tasks carried out in the public interest then, if you ask us to, we will stop using that personal information unless there are overriding legitimate grounds to continue.
Restricting how we may use your information: In some cases, you may ask us to restrict how we use your personal information. This right might apply, for example, where we are checking the accuracy of personal information about you that we hold or assessing the validity of any objection you have made to our use of your personal information. The right might also apply where this is no longer a basis for using your personal information but you don't want us to delete the information. Where this right is validly exercised, we may only use the relevant personal information with your consent, for legal claims or where there are other public interest grounds to do so.
Automated processing: If we use your personal information on an automated basis to make decisions which significantly affect you, you have the right to ask that the decision be reviewed by an individual to whom you may make representations and contest the decision. This right only applies where we use your personal information with your consent or as part of a contractual relationship with you.
Withdrawing consent using your information: Where we use your personal information with your consent you may withdraw that consent at any time and we will stop using your personal information for the purpose(s) for which consent was given.

Your California Privacy Rights
These California Privacy Rights Disclosures (the “CA Disclosures”) provide additional information about how we collect, use, disclose and otherwise process personal information of individual residents of the State of California, either online or offline, within the scope of the California Consumer Privacy Act of 2018 (“CCPA”) and California Privacy Rights Act of 2020 (“CPRA”). Unless otherwise expressly stated, all terms in these CA Disclosures have the same meaning as defined in this Privacy Policy or as otherwise defined in the CCPA. Personal Information
When we use the term “personal information” in these CA Disclosures, we mean information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular consumer or household.
For the purposes of these CA Disclosures, personal information does not include:
Publicly available information from government records.
Deidentified, aggregated or anonymized data (not capable of being associated with or linked to you).
Information relating to our job applicants, employees, contractors and other personnel, which is not governed by these CA Disclosures.
Information excluded from the CCPA's scope, such as: (i) Health or medical information covered by the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and the California Confidentiality of Medical Information Act (CMIA) or clinical trial data; (ii) Information covered by certain sector-specific privacy laws, including the Fair Credit Reporting Act (FRCA), the Gramm-Leach-Bliley Act (GLBA) or California Financial Information Privacy Act (FIPA), and the Driver's Privacy Protection Act of 1994.
California Privacy Rights
As a California resident, you may be able to exercise the following rights in relation to the Personal Information about you that we have collected (subject to certain limitations at law):
The Right to Know: You have the right to request any or all of the following information relating to the personal information we have collected about you or disclosed in the last 12 months, upon verification of your identity:
The specific pieces of personal information we have collected about you;
The categories of personal information we have collected about you;
The categories of sources of the personal information we have collected about you;
The categories of personal information that we have disclosed about you to third parties for a business purpose, and the categories of recipients to whom this information was disclosed;
The categories of personal information we have sold about you (if any), and the categories of third parties to whom this information was sold; and

The Right to Request Deletion: You have the right to request the deletion of personal information that we have collected from you, subject to certain exceptions.

However, please note that if the exercise of the rights described above limits our ability to process personal information (such as in the case of a deletion request), we may no longer be able to provide you our products or services or engage with you in the same manner.
Collection and Use of Personal Information
We collect various categories of personal information in connection with our services. Please review this Privacy Policy to learn more about the personal information we collect, how we collect personal information and how we use personal information. The personal information we collected in the last twelve months is as described above under the heading “Categories of Information Collected”.
Sale of Personal Information
We do not “sell” personal information as most people would typically understand that term. However, we do allow certain third-party partners and providers to collect information about consumers directly through our services for purposes of analyzing and optimizing our services and ads, providing content and ads that are more relevant, measuring statistics and the success of ad campaigns, and for other business purposes. To the extent this practice is interpreted to constitute a “sale” under the CCPA, please see the section of this Privacy Policy with the heading “Opting-out and Unsubscribing” for more information including how you may be able to exercise your rights to opt-out of cookies, analytics and personalized advertising.
How to Exercise Your California Privacy Rights
To Exercise Your Right to Know or Right to Deletion: You may request that we:
disclose to you the following information covering the 12 months preceding your request:
the categories and specific pieces of personal information we collected about you and the categories of personal information we sold;
the categories of sources from which we collected such personal information;
the business or commercial purpose for collecting or selling personal information about you; and
the categories of third parties to whom we sold or otherwise disclosed personal information.

opt-out of any future sale of personal information about you.
To exercise your right to know and/or right to deletion, please submit a request by emailing privacy@layerhealth.com with the subject line “California Rights Request”.
We will need to verify your identity before processing your request. In order to verify your identity, we will generally require the matching of sufficient information you provide us to the information we maintain about you in our systems. Although we try to limit the personal information collected in connection with a request to exercise the right to know and/or the right to delete that personal information, certain requests may require us to obtain additional personal information from you. In certain circumstances, we may decline a request to exercise the right to know and/or right to deletion, particularly where we are unable to verify your identity.
To Exercise Your Right to Opt Out of Personal Information Sales: As noted above, we do not “sell” personal information as most people would typically understand that term.
